'Trademark Assignment' is dealt with under 'The Trade Mark Act, 1999'.

According to Section 37 of The Trade Mark Act,1999  'Trademark Assignment' is a transfer of an owner's right, title, and interest in a trademark or brand mark.

Types of Trademark Assignment:

The following are the types of trademark assignment-

  1. ‘Complete Assignment’:

The rights of a registered trademark are transferrable to the purchasing party like rights of further transfer, royalties earning rights, etc.

  1. 'Partial Assignment':

In a case wherein the ownership is limited to a certain level (product or services) after the transfer to another party.

  1. 'Assignment with Goodwill':

In case wherein the value/Goodwill of the trademark is also transferred along with the rights associated with it.

  1. 'Assignment without Goodwill':

In case wherein the value/Goodwill of the trademark is not transferred placing restrictions on brand usage by the buyer and is also called as 'Gross Assignment'

How to apply?

You need to follow the following points during ‘Trademark Assignment’

  1. An application needs to be written for the assignment of the trademark. This plea could be written by either side, mentioning all the required details for the transfer, mentioned under form TM-P.
  2. The application needs submitted with the 'Registrar of the Trademark' within the 6 months of attainment of proprietorship.
  3. For trademark assignment done with the goodwill mark or registered mark; the direction of the registrar is mandatory before the expiry of 6 months.
  4. Trademark advertising norms are specified by the 'Registrar'. The applicant needs to follow these specifications and submit a copy of the advertisement to the 'Registrar's' office.
  5. Once the registrar approves the submitted documents, he shall officially transfer the trademark from the original owner to the purchasing candidate.

Finally, after this whole procedure, the assignee is eligible to use the trademark as per the terms of the agreement.
